“Emera and Canadian Utilities Merge in $72B Deal”

The groundwork for establishing a formidable Canadian energy entity was laid last summer amid escalating trade tensions with the United States and Ottawa’s drive for new nation-building infrastructure. Halifax’s Emera Inc. and Calgary’s Canadian Utilities unveiled plans to merge into a new entity valued at $72 billion, positioning it as one of North America’s largest utilities with the capacity to capitalize on surging power demand.

At the same time, Atco Ltd., the controlling shareholder of Canadian Utilities, is reshaping itself as a more agile enterprise concentrating on defense, housing, and other infrastructure projects, particularly in remote areas that have become governmental priorities.

Nancy Southern, Atco’s CEO, revealed that Emera’s Scott Balfour initiated discussions about forming a Canadian energy powerhouse 15 months ago. The merger aims to address the escalating demand for clean power driven by the growth of artificial intelligence data centers and electrification.

The new combined utility will operate under the Emera brand, maintaining its headquarters in Halifax and operational offices in Calgary and Edmonton. The post-merger Emera will cater to six million customers across various regions in Canada, the United States, Mexico, the Caribbean, and Australia.

The Emera-Canadian Utilities merger intends to invest $32 billion in capital projects through 2030, with a focus on Florida and Alberta, high-growth regions in North America. Southern will lead a revamped Atco and co-chair Emera’s board post-merger.

The transaction involves Emera acquiring all outstanding shares of Canadian Utilities, valued at approximately $14.3 billion. Shareholders of Emera, Canadian Utilities, and Atco are set to vote on the merger in early 2023, subject to regulatory approvals in multiple jurisdictions.
